Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Solidhouse Builders and Construction Inc., doing business as “Viro Living” (“Viro Designs,” “we,” “us,” or “our”), and govern your access to and use of our website, journal, enquiry and appointment channels, and related online services (together, the “Services”). Our Privacy Policy and Cookie Policy are incorporated into and form part of these Terms. By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

The Services provide information about the furniture we curate and sell — our collections, materials, availability, showroom, journal, and lookbook — and let you contact us, request quotations, and book showroom visits and design appointments. The Services do not include an online store: no order is placed, and no contract of sale is formed, through this website. Purchases are concluded in our showroom or by separate written confirmation, and each sale is governed by the quotation, invoice, or sale document issued for it.

We work to keep the information on the Services accurate and current, and to publish only availability and lead times we can honour. Even so:

• product images, dimensions, colours, materials, and descriptions are provided as a guide and may vary slightly from the item delivered, including due to natural variation in materials and differences between screens;
• availability and lead times shown on the Services are indicative as of the date stated and are subject to stock and supplier schedules; and
• nothing on the Services is a binding offer. The details of any purchase — price, specification, availability, and delivery — are confirmed in the quotation or sale document we issue to you.

Quotations we prepare at your request are free of charge and without obligation unless we state otherwise, and are valid for the period stated on them. Appointments booked through the Services are subject to availability. Where a sale proceeds, the terms of that sale — including payment, delivery, assembly, and any warranty — are set out in the sale documents we issue, and nothing in these Terms limits the rights those documents or the law give you.

Your statutory rights under the Consumer Act of the Philippines (Republic Act No. 7394), the Civil Code, and other applicable laws — including the implied warranties and the warranty against hidden defects — are not affected by these Terms. Nothing in these Terms excludes or limits any right you have under mandatory Philippine consumer-protection law.

You agree not to:

• use the Services for any unlawful, fraudulent, or harmful purpose;
• interfere with, disrupt, overload, or attempt to gain unauthorised access to the Services or their underlying systems or data;
• introduce malware or attempt to probe, scan, or test the vulnerability of the Services without authorisation;
• copy, scrape, harvest, or systematically extract content from the Services, or use it to train machine-learning models, except as expressly permitted; or
• impersonate any person or misrepresent your affiliation with any person or entity.

All content on the Services — including the Viro Designs name and logo, text, images, journal articles, photography, and page designs — is owned by or licensed to Viro Designs and is protected by intellectual property laws. Product designs and brand names of the pieces we carry belong to their respective owners. We grant you a limited, revocable, non-transferable licence to view and use the content for your personal, non-commercial use of the Services. You may not otherwise copy, reproduce, distribute, modify, or create derivative works from the content without our prior written permission.

The Services may link to third-party websites and use third-party tools (such as hosting and email providers). We are not responsible for the content, products, or practices of third parties. Your use of those tools and sites is governed by their own terms and privacy policies.

The Services are provided on an “as is” and “as available” basis. We may modify, suspend, or discontinue all or part of the Services at any time, and we may carry out maintenance that temporarily limits availability. We will try to minimise disruption but do not guarantee uninterrupted availability.

To the fullest extent permitted by law, the website and its content are provided without warranties of any kind not expressly set out in these Terms, whether express or implied. We do not warrant that the Services will be uninterrupted, timely, error-free, or secure, or that content is accurate or complete. This does not affect the statutory warranties that apply to any products we sell to you, which remain in full force (see Section 5).

To the fullest extent permitted by law, Viro Designs and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive loss, or for loss of profits, revenue, data, goodwill, or business, arising out of or in connection with your use of the Services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law — including liability for death or personal injury caused by our negligence, for fraud, for gross negligence or wilful misconduct, or liability under the Civil Code and the Consumer Act of the Philippines (Republic Act No. 7394) for products we sell to you.

You agree to indemnify and hold harmless Viro Designs and its directors, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Services, or your infringement of any law or third-party right.

We are not liable for any failure or delay in performing our obligations that is caused by events beyond our reasonable control, including acts of God, natural disasters, typhoons, fire, flood, epidemics or pandemics, government action, civil disturbance, strikes, utility or telecommunications failures, and disruptions to suppliers or logistics.

These Terms are governed by the laws of the Republic of the Philippines. We encourage you to contact us first so we can try to resolve any concern amicably. For disputes with business customers, the proper courts of Taguig City, Metro Manila, have exclusive jurisdiction. For consumers, that venue is offered as an option only and does not remove your right to bring a claim where the law allows — including where you reside or through small-claims procedures — and no non-waivable venue or remedy available to consumers under Philippine law is affected.

• Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Services. Any purchase is additionally governed by its own sale documents.
• Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
• No waiver. Our failure to enforce any right or provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a reorganisation, merger, or sale.
• Changes.We may update these Terms from time to time. For material changes we will take reasonable steps to notify you (for example, by a notice on the site), and such changes apply prospectively only; we will update the “Last updated” date above. Your continued use of the Services after a change takes effect means you accept the updated Terms.
